By completing your $500.00 USD investment below, you are agreeing to enter into a Convertible Note Agreement with Only Fans Insider Media Group, Inc., and accept the terms outlined herein. 💼 Terms of Investment

1. Parties
This agreement is between Only Fans Insider Media Group, Inc., a Colorado-based media and publishing company (“Company”), and the investing individual or entity (“Investor”) completing this transaction.

2. Investment Amount
Investor agrees to invest $500.00 USD, as part of a larger $500,000.00 convertible note raise, representing 20% of the Company.

3. Ownership and Vesting

• Your investment represents 0.02% equity (based on $500 / $500,000).

• Equity is subject to a 4-year vesting schedule, with monthly vesting and no cliff, beginning upon payment.

4. Convertible Note Terms

• Investment will convert to Preferred Equity in the event of a Qualified Financing, Acquisition, or IPO.

• This note carries no interest and no valuation cap.

5. Rollover Equity & Discount

• You will receive rollover equity rights into all future vertical magazines launched by Only Fans Insider.

• A 20% preferred equity discount applies to future magazine investments, including revenue from:

  • Digital advertising

  • Events and awards

  • Memberships

  • Publishing services

  • Sponsored content and creator tools

 

6. Revenue Participation
As an equity holder, you will participate in revenues proportionate to your equity share.

7. No Voting Rights (Pre-conversion)
You will not have voting rights until your note converts to equity.

8. Non-Transferable
This agreement and its benefits are non-transferable without written consent.

9. Governing Law
This agreement shall be governed by the laws of the State of Colorado.
