By completing your $1,000.00 USD investment, you agree to enter into a Convertible Note Investment Agreement with Only Fans Insider Media Group, Inc., a digital media company operating a scalable, multi-brand magazine platform for the creator economy.

This agreement is executed and legally binding immediately upon successful payment.

 

💼 Investment Terms

1. Parties
This Agreement is between Only Fans Insider Media Group, Inc. ("Company") and the individual or entity completing this online transaction ("Investor").

2. Investment Amount
Investor is contributing $1,000.00 USD as part of a total $500,000.00 convertible note raise, representing 20% of the Company.

3. Ownership & Equity

• The Investor’s equity is calculated pro rata:
  $1,000 / $500,000 = 0.04% equity stake, subject to vesting.

• Equity is subject to a 4-year vesting schedule, vesting monthly with no cliff, starting from the date of payment.

4. Convertible Note Features

• Converts to Preferred Equity in the event of a Qualified Financing, Acquisition, or IPO.

• Note carries no interest and no valuation cap, as conversion is tied to equity percentage based on the current raise.

5. Rollover & Expansion Rights
As an Investor, you will receive:

• Roll-over equity into all future vertical magazine launches under the Only Fans Insider umbrella (e.g., OFI Luxe, OFI Fit, OFI Ink).

• 20% Preferred Equity Discount on participation in future funding rounds for any new digital magazines, which include:

  • Creator memberships

  • Ad revenue

  • Events, awards, and retreats

  • Sponsorships

  • Creator education, tools, and publishing services

6. Revenue Participation
Investor shall be entitled to revenue share and distributions proportionate to their equity stake across:

• Digital advertising

• Subscriptions & memberships

• Article publication revenue

• Awards events, sponsorships, merchandise

• Any other monetized products of current or future magazines

7. Rights & Restrictions

• No voting rights until the note converts to equity.

• Note and equity rights are non-transferable without the Company’s written consent.

8. Governing Law
This agreement is governed by the laws of the State of Colorado, USA.

By completing your investment, you certify that:

• You are aware this is a high-risk, early-stage investment.

• You understand the structure, terms, and conversion rights.

• You accept the 4-year vesting schedule.

• You are investing voluntarily and without any other representations outside this agreement.
